These Terms & Conditions ("Terms") govern your access to and use of the PrimedinAI service (the "Service"), operated by Indoeu Systems (OPC) Private Limited ("PrimedinAI", "we", "us", "our"). By creating an account, submitting a request for access, or using any part of the Service, you agree to be bound by these Terms.

If you do not agree, please do not use the Service.

The Service is currently offered as a pre-beta, invite-only release. By using the Service you acknowledge and accept that:

• features, behaviour, and interfaces may change, break, or be removed at any time without notice;
• no service level, uptime, or availability guarantee is provided during the pre-beta period;
• your content, settings, and data may need to be migrated or reset before general availability;
• we may use reasonable feedback and diagnostic information to improve the Service.

You must be at least 18 years old and competent to enter into a binding contract under the Indian Contract Act, 1872 (or equivalent laws in your jurisdiction). You agree to provide accurate, current information, to keep your credentials secure, and to be responsible for all activity that occurs under your account.

Access is granted by invitation only. We may refuse, suspend, or revoke access at our discretion.

PrimedinAI is an AI-assisted video production platform. The Service allows an authorised user to upload video content and receive AI-generated artefacts including (without limitation) transcripts, multilingual subtitles, chapter summaries, thumbnails, branded intros, and watermarked outputs, together with secure streaming and embed delivery.

You retain all rights in the video, audio, images, text, and other material that you upload or submit to the Service ("User Content").

You grant PrimedinAI a limited, worldwide, non-exclusive, royalty-free licence to host, store, transcode, process, analyse, transmit, and display User Content solely to provide the Service to you, including generating AI outputs from that User Content on your behalf. This licence ends when you delete the User Content or close your account, subject to a reasonable period for scheduled backups to expire.

We will not use User Content for marketing or promotional purposes without your separate written consent.

AI features of the Service (including transcription, summarization, thumbnail regeneration, intro generation, watermarking, and automated video editing) are powered by some third-party foundation models running in data centres hosted within India.

• We do not use your User Content to train our own or third-party foundation models.
• Third-party documented data-handling terms apply to model inputs and outputs; PrimedinAI systems do not retain or train on your prompts or content.
• AI outputs may contain factual errors, omissions, or inaccuracies. You are solely responsible for reviewing AI outputs before publication or external use.
• You warrant that your inputs do not infringe any third-party intellectual-property, privacy, or other rights.

You must not use the Service to:

• upload, store, or distribute content that is unlawful, obscene, defamatory, infringing, hateful, or otherwise prohibited under Indian law (including the Information Technology Act, 2000 and Rules thereunder), or any other applicable law;
• upload child sexual abuse material, terrorism-related content, or any content that endangers public order, decency, or morality;
• infringe intellectual-property rights, privacy rights, publicity rights, or confidentiality obligations of any person;
• attempt to reverse engineer, decompile, scrape, or probe the Service, or bypass any authentication, rate-limiting, or access-control mechanism;
• circumvent signed-URL or signed-cookie protections that secure video delivery;
• transmit malware, viruses, or harmful code, or use the Service to attack, overload, or disrupt any system;
• craft prompts, inputs, or attacks designed to exfiltrate model weights, training data, or system instructions.

The Service delivers video content through a third-party CDN using signed cookies or signed URLs that grant time-limited access. You must not share those signed tokens outside the intended viewer, and you must not attempt to circumvent access controls on embedded videos.

Aggregate viewer analytics (play events, device class, coarse geography, referrer) may be collected when a video is played through our embedded player. Where you embed PrimedinAI-hosted videos on your own site, you act as controller for the underlying viewer data and PrimedinAI acts as processor, in each case as further described in our Privacy Policy.

The Service, including the underlying code, user interfaces, design elements, trademarks, and documentation, is owned by Indoeu Systems (OPC) Private Limited or its licensors and is protected by applicable intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Part of the Service relies on third-party infrastructure and services. Your use of such third-party services remains subject to the applicable third-party terms. We are not responsible for third-party services or their availability.

If you believe that content hosted on the Service infringes your rights or violates applicable law, you may file a complaint with our Grievance Officer (see Section 20). We aim to acknowledge complaints within twenty-four (24) hours and resolve them within fifteen (15) days in accordance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

Repeat infringers will have their access terminated.

We may suspend or terminate your access to the Service at any time if you violate these Terms, if we are required to do so by law, or if continued operation of the Service in your jurisdiction becomes impracticable. On termination, your licence to use the Service ends immediately. Where practicable, we will provide a reasonable window to export your User Content before deletion.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, and uninterrupted operation. This disclaimer is especially relevant during the pre-beta period (see Section 2).

To the maximum extent permitted by law, PrimedinAI, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service.

PrimedinAI's total aggregate liability arising out of or relating to the Service shall not exceed INR 10,000 (ten thousand Indian rupees) during the pre-beta period.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under the Consumer Protection Act, 2019.

You agree to defend, indemnify, and hold harmless PrimedinAI and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any applicable law or third-party right.

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, acts of war or terrorism, civil unrest, pandemics, labour disputes, network or power outages, or the acts or omissions of third-party providers.

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to the arbitration clause below, the courts at the registered office of Indoeu Systems (OPC) Private Limited shall have exclusive jurisdiction.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by PrimedinAI. The seat of arbitration shall be the registered office of Indoeu Systems (OPC) Private Limited; the language shall be English.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of them.
